Nvidia paid $20 billion for a non-exclusive license to Groq's chip technology and hired Groq founder Jonathan Ross without filing an HSR merger notice, according to Bloomberg. The Department of Justice is asking whether that structure moved economically significant assets without the review a full acquisition would trigger. The question bears on any AI lab that hires away a rival's founder instead of buying the company outright.
HSR notices exist so regulators can review deals before they close. A licensing deal plus a hire doesn't trigger that filing requirement the way a stock or asset purchase does. The practical effect can look the same anyway.
Investigators are reportedly looking at whether the deal moved economically significant assets, regardless of what the paperwork calls it. Ross built Groq's chip architecture. He now works inside Nvidia and holds a license to his old company's technology. The DOJ's question is whether that combination amounts to an acquisition wearing a licensing agreement.
Groq isn't a Nvidia subsidiary, and the deal isn't described as a full buyout, so Groq keeps operating independently for now. Bloomberg's reporting doesn't say whether Groq initiated the structure or Nvidia did, and it doesn't detail the license's technical scope.
The DOJ's reasoning would apply to any reverse acquihire, where a company licenses technology and hires the key people rather than buying it outright. That holds whatever the deal is called on paper. An unwind of the Groq deal itself is considered unlikely, but the review standard it would set isn't limited to this one case.
